General.
This invoice payment service and all materials and content available on or
by of the service (the “Content”, which along with the services to be known as “UNP Service”) are
provided by Teranet Inc. (“Teranet”) for your use in making payments to the designated hospital. By
accessing any part of the UNP Service, you agree to be bound by these terms of use (“Terms”). If you
do not agree to these Terms, you should not use the UNP Service.
No warranties.
Teranet provides the UNP Service on an "as is, where is" basis. None
of
Teranet, its affiliates, suppliers, directors, officers, employees, contractors or agents
(“Teranet Group”) make any express or implied warranties, representations, endorsements or
conditions with respect to the UNP Service, including without limitation, warranties as to
merchantability, operation, non-infringement, usefulness, completeness, accuracy, currency,
reliability and fitness for a particular purpose. Further, the Teranet Group does not represent
or warrant that the UNP Service will be available and meet your requirements; that access will
be uninterrupted; that there will be no delays, failures, errors or omissions or loss of
transmitted information; that no viruses or other contaminating or destructive properties will
be transmitted; or that no damage will occur to your systems. You have sole responsibility for
adequate protection and backup of your data, hardware and software and to take reasonable and
appropriate precautions to scan for computer viruses or other destructive properties.
Timing of Payments/Disputes.
PLEASE ALLOW 3 BUSINESS DAYS TO PROCESS YOUR
PAYMENT AND 5 BUSINESS DAYS TO UPDATE HOSPITAL RECORDS. Any disputes or questions surrounding
any payment made by way of the UNP Service should be directed to the applicable hospital.
No liability.
The Teranet Group will not be liable to you or anyone else for
any damages whatsoever (including direct, indirect, incidental, special, consequential,
exemplary or punitive damages or loss of or damage to data, revenue, opportunity, goodwill or
reputation) arising out of or in connection with your use of or inability to use any part of the
UNP Service; or any action or decision made by you in reliance on any part of the UNP Service;
or any use or reproduction of any part of the UNP Service, even if a member of the Teranet Group
has been advised of the possibility of these damages.
Use of the UNP Service.
You may only use the UNP Service for your personal use
and for making payments to designated hospitals. You are not granted any other rights in
relation to the UNP Service. Certain names, words, titles, phrases, logos, icons, graphics or
designs or other content on the UNP Service are trade names or trade-marks owned by Teranet, or
trade names or trade-marks licensed to it. The display of trade-marks and trade names on the UNP
Service does not imply that a license of any kind has been granted to anyone else. Any
unauthorized downloading, re-transmission, or other copying or modification of trade-marks
and/or the contents of the UNP Service may be a violation of any federal or other law that may
apply to trade-marks and/or copyrights and could subject the copier to legal action. Parts of
the UNP Service are protected under the copyright laws of Canada and other countries and you do
not have permission, under these Terms, to copy, redistribute, reproduce, republish, store in
any medium, re-transmit, modify or make public or commercial use of, in any form, any part of
the UNP Service.
Your Information.
When you submit information by way of the UNP Services (the
“Information”), you are solely responsible for the verification of the accuracy any submitted
Information. No member of the Teranet Group shall have any liability to you or any third party
for any damages resulting from a failed or inaccurate submission of Information. You represent
that you will not use upload to the UNP Service any Information that would constitute or
encourage conduct that would violate any law, statute, ordinance or regulation; which would
infringe the intellectual property or privacy rights of the Teranet Group or a third party; or
is defamatory, libelous, obscene or pornographic. You also represent that you will not use any
part of the UNP Service in a manner, which is contrary to law, statute ordinance, regulation or
netiquette or which would adversely impact use of the UNP Service or the Internet by other
users, including without limitation, the posting or transmitting of information or software
containing viruses or other disruptive content. It is your responsibility to ensure that you
have the appropriate hardware and software or Internet access services to allow proper use of
the UNP Service, the Service and the Information. Any additional costs associated with the UNP
Service shall be borne by you.
Privacy and confidential information.
The Teranet privacy and security policies
are binding parts of these Terms and may be accessed at www.teranet.ca.
Miscellaneous.
These Terms constitute the agreement between Teranet and you
with respect to your use of the UNP Service. Teranet’s failure to insist upon or enforce strict
performance of any provision of this agreement shall not be construed as a waiver of any
provision or right. If any of these Terms is determined to be void, invalid or otherwise
unenforceable by a court of competent jurisdiction, such determination shall not affect the
remaining provisions hereof. The UNP Service is administered by Teranet from its offices in
Canada. The UNP Service will be governed by and construed in accordance with the laws of the
Province of Ontario and the laws of Canada applicable therein, without giving effect to any
principles of conflicts of laws. All disputes, controversies or claims arising out of or in
connection with the UNP Service shall be submitted to and be subject to the exclusive
jurisdiction of the courts of the Province of Ontario, except in the case of injunctive relief
which may be sought in any jurisdiction. Changes may be made to the Terms at any time without
notice by updating this posting. You agree to review the Terms regularly and your continued
access or use of the UNP Service will mean that you agree to any changes. Teranet may
immediately terminate or reuse to permit the use of the UNP Service by any user, if that user
has used the UNP Service in any way that is contrary to the Terms or the law or in any way that
disrupts the UNP Service.
